Purchase Order Form Terms & Conditions
Effective Date: May 12, 2025
By submitting a Purchase Order (“PO”) Form to Hans Biomed USA, Inc. (“Hans USA”), the Customer agrees to the following Terms & Conditions. These terms apply to orders placed through Hans USA sales representatives or submitted by email or physical PO form. For online orders, please refer to our separate online store Terms & Conditions.

1. Product Classification & Compliance
- MINT Lift® PDO Threads: FDA-cleared Class II medical devices (K130191, K192423, K220549).
- MINT Microcannula: Class I medical device (21 CFR 880.5580, exempt).
- TargetCool®: FDA-cleared Class II device (K230599).
- klárdie: Cosmetic topical solutions not intended to diagnose, treat, cure, or prevent disease.
All products must be used by qualified professionals in accordance with applicable medical regulations. Off-label or unlicensed use is at the Customer’s sole risk.
2. License Verification
Hans USA must verify an active and valid professional license (medical, esthetician, or cosmetology) before fulfilling any order. Orders may be declined if licensing requirements are not met or if verification cannot be completed.
3. Payment & Shipping
By submitting a PO Form, the Customer authorizes Hans USA to process payment for the total amount due, including applicable taxes, shipping, and handling fees, using the payment method selected on the form. This authorization allows Hans USA to either charge the provided payment method (for credit card or electronic payments) or collect payment according to the agreed terms (for checks, wire transfers, or approved Net Terms accounts).
All payment information must be completed at the time of submission. Incomplete or incorrect details may result in processing delays. Orders with overdue or outstanding payments not cleared within 10 business days are subject to cancellation.
All credit card information provided on this form is handled securely and used solely for authorized transactions with Hans USA. We do not store or share card data beyond the scope of processing your order, in accordance with applicable privacy and payment security standards.
Accepted payment methods:
- Credit Card: Typically processed within one (1) business day after the completed form is submitted.
- Wire / ACH: Payments are processed upon receipt of funds.
- Check: Orders are processed after the check has been received and cleared.
- Net Terms: Payment terms must be pre-approved in writing by Hans Biomed USA prior to order processing. Approval may take up to five (5) business days and is subject to review
All totals shown on the PO Form are estimates. Final invoices reflect verified quantities, taxes, and applicable fees. Sales tax applies to klárdie and TargetCool orders shipped to or billed in California. Unpaid or inaccurate orders may be delayed or canceled.
4. Shipping
Orders are shipped Monday through Friday, excluding holidays. Orders will be shipped on the next business day after payment is confirmed.
Shipping Rates
All orders are shipped via UPS Ground or UPS Next Day Air. Delivery times may vary depending on the destination and are subject to UPS shipping conditions.

⚠️Important: TargetCool Starter Kit and TargetCool Triangle Kit are only eligible for Ground Shipping. If either of those products are included in the PO form, Ground will apply to the entire order. TargetCool products are not eligible for shipping to Alaska and Hawaii.
Shipping Delays
While we aim to fulfill all orders promptly, shipping delays may occur due to circumstances beyond our control. These may include:
- Office closure due to inclement weather
- Weather-related disruptions along the shipping route (as determined by UPS)
- Products temporarily on backorder
- Internal communication errors by our third-party logistics carrier
Lost Packages
For lost packages (as indicated by a non-delivery tracking status), please contact orders@hansbiomed.us for assistance.
5. Returns & Exchanges
We’re committed to your satisfaction. If you are not completely satisfied with a purchase made via a PO Form, you may return eligible items within the timeframes outlined below. Dates are calculated based on the original order date. All products are subject to an inspection and approval process.

Policy for Hans USA Products: MINT Lift®, MINT Microcannula, klárdie, and EZ-Tcon
- Items must be unopened, unused, and in original condition. All returns are subject to inspection and approval.
- Returns/exchanges are not guaranteed until received, inspected, and approved by Hans Biomed USA.
- Customer is responsible for return shipping costs; Hans Biomed USA is not liable for lost or damaged return shipments.
- Shipping/handling charges are non-refundable.
- Products purchased during promotions or special events are final sale and not eligible for return or exchange.
Starting a Return/Exchange for a Hans USA Product
- Complete the Return & Exchange Authorization Request Form.
- Email the form to orders@hansbiomed.us and copy your Hans USA Sales Representative
- Further instructions will be sent upon approval.
Damaged or Defective Items
Report issues within 90 days of purchase to your Hans USA Sales Representative and orders@hansbiomed.us. Please include your order number, affected products, a brief description, and photos (required).
Refund Timeline
- Cancelled orders: Refunds initiated upon cancellation approval; your bank/card issuer may take up to 10 business days to post funds.
- Approved returns: Refunds are issued after inspection and approval. Banks/card issuers typically post within 5–10 business days.
6. Additional TargetCool Terms & Conditions
Hans USA is an authorized distributor of TargetCool, a product line owned by Recens. All orders of TargetCool devices, equipment, and consumables (collectively referred to as “TargetCool Productsˮ) are fulfilled by Hans USA. By purchasing and using TargetCool from Recens through Hans USA (together, the “Companiesˮ), the Customer agrees to the following additional terms and conditions.
Inventory Tracking
Each TargetCool Product has a unique serial number and is regulated by the FDA. In compliance with inventory tracking requirements, Hans USA will provide Recens with the Customer’s information and shipment date. Customers acknowledge and consent to this disclosure by placing an order.
Training and Technical Support
Recens provides onboarding training (on-site or virtual) at no additional cost to customers who purchase TargetCool products through Hans USA. This training includes instructions on proper use and handling. All sales and repurchasing are managed by Hans USA.
Technical support is available from Recens, Monday–Friday, 9:00 AM–5:00 PM PT during the warranty period. Support may be denied if warranty conditions are violated, including use of non-approved consumables, failure to follow the user manual or training, or improper storage. Minor CO₂ leakage during use, assembly, or disassembly—particularly if cartridges are left installed or exposed to temperatures exceeding 90°F—is expected and not considered a defect.
Return and Exchange Policy
Applies only to TargetCool devices and consumables distributed by Hans USA on behalf of Recens.
If you are not completely satisfied with your purchase, you may return TargetCool Products for a full refund if the order is returned within 7 business days from the delivery date. All returned items must be completely sealed, unused, and in mint condition. Refunds or exchanges will not be honored for returns received after the specified timeframe. Returns and exchanges are not guaranteed until receipt, inspection, and approval. Shipping and handling fees are non-refundable. Products purchased during special promotions or events are final sale.
Warranty
TargetCool products are covered by a one-year limited warranty from the purchase date. The warranty covers repair or replacement of defective products; it does not cover returns.
Customers may submit a warranty claim in accordance with the Misc Warranty and Limited Liability Matters section of these terms. To request authorization, email returns@coolhealth.com with a description of the issue and the device serial number(s).
Recens’s reasonable determination as to whether the TargetCool products are defective or non-conforming shall be binding. If confirmed defective, the products must be returned prepaid and insured by the customer. Upon proper return of a defective or non-conforming product, Recens will reimburse reasonable transportation costs. If found non-defective, the customer is responsible for all shipping charges. Recens and Hans USA are not liable for lost or damaged return shipments.
Misc Warranty and Limited Liability Matters
Remedies for any breach of warranty or related obligations are limited, at the Companies’ sole discretion, to repair or replacement of the affected TargetCool product, or a refund of the purchase price paid. The warranty will be void if the products have been subjected to unauthorized use or conditions, including but not limited to:
- Use with medical devices or consumables not supplied by Recens
- Physical abuse, misuse, abnormal use, or failure to follow Recens’s published instructions or training
- Modification, disassembly, or repair by anyone other than Recens or an authorized service provider
- Fraud, tampering, negligence, or improper storage
- Removal or alteration of serial number tags, or improper packaging for return
- Default of any payment obligations to Recens or Hans USA
Except for the express warranty above, TargetCool products are provided “as is,” and all other warranties—express or implied—are disclaimed, including merchantability and fitness for a particular purpose.
Under no circumstances shall the Companies’ total liability exceed the amount paid by the Customer for the product giving rise to the claim. The Customer acknowledges and accepts this limitation as part of the agreed sale terms. The Companies shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or revenue.
Intellectual Property
The Customer does not acquire any proprietary or intellectual property rights in the TargetCool products or related components. Any intellectual property conceived, discovered, authored, invented, or reduced to practice by the Customer—whether independently or jointly with others—and arising out of the use of TargetCool products shall be the sole and exclusive property of Recens.
The Customer agrees to promptly disclose and assign all such Inventions to Recens. If assignment is deemed invalid, the Customer grants Recens an exclusive, royalty-free, perpetual, worldwide license to develop, reproduce, and use such Inventions. The Customer also agrees to allow Recens to inspect TargetCool products and usage data upon reasonable request.
Use of TargetCool Equipment and Consumables
The Customer shall use TargetCool products only in accordance with applicable laws and instructions provided by Recens and Hans USA. The device must only be used with consumables purchased directly from Recens or Hans USA. The Customer acknowledges that using unauthorized consumables may result in patient complications, equipment failure, or voided warranty.
The Customer shall not modify, disassemble, or reverse engineer the TargetCool device and must ensure proper handling, storage, and maintenance. Devices should be stored in temperature-controlled environments away from direct sunlight. The Customer is responsible for replacing any consumables lost or damaged while in their possession.
Indemnification
This section supplements Hans USA’s standard Terms & Conditions. The Customer agrees to defend, indemnify, and hold harmless Recens, Hans USA, and their affiliates, officers, and employees from all claims, damages, or expenses (including reasonable attorneys’ fees) arising from negligence, breach of obligations, failure to comply with law, or off-label use of TargetCool products.
The Customer acknowledges they have independently selected TargetCool products and remain solely responsible for all medical, cosmetic, or other procedures performed using the products. The Customer agrees to indemnify Recens and Hans USA against any claims for injury, death, or harm arising from such procedures, except where caused solely by Recens’s negligence or a material defect in manufacture.
7. Limitation of Liability
To the fullest extent permitted by law, Hans USA is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, or business opportunities) arising from product use, breach of warranty, contract, tort, or any other legal theory. Any liability is strictly limited to the amount paid for the product, with no additional remedies or damages recoverable.
Except for any written manufacturerʼs warranty, Hans USA disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, durability, and performance. Hans USA is not responsible for product failure or harm resulting from improper storage, unauthorized modifications, off-label use, or regulatory violations.
Hans USA does not provide medical advice and is not responsible for clinical decisions, patient outcomes, or complications. The Customer acknowledges that use of the product outside its FDA-cleared indications is at their own risk, and Hans USA disclaims any liability for such use. It is the Customerʼs responsibility to ensure compliance with all applicable federal, state, and local regulations regarding the purchase and use of these products.
The Customer agrees to defend, indemnify, and hold harmless Hans USA, its affiliates, officers, directors, and employees from any claims, damages, or liabilities arising from unauthorized modifications, off-label use, or misuse. Any claims against Hans USA must be filed within one year or will be barred.
8. Force Majeure
Neither party shall be liable for any delay or failure in performance (excluding payment obligations) due to events beyond their reasonable control. These include, but are not limited to, acts of God, civil or military authority, embargoes, epidemics, pandemics, government regulations, supply chain disruptions, war, terrorism, riots, insurrections, fires, explosions, earthquakes, hurricanes, floods, power outages, strikes, or lockouts. If such conditions arise, it may become impossible or commercially impractical to fulfill the order in full or in part. Once the force majeure condition is resolved, both parties will make their best efforts to resume performance under this agreement.
9. Governing Law
In the event of any dispute or legal action, the terms and conditions of this document shall be governed by and construed in acoordance with the laws of the state of California.
